SECTION 5.06. Counterparties; efficiency; Several agreements. This Agreement may be performed in consideration (and by different parties on different considerations), each of which is an original, but which together form a single contract. Delivery of a signature page signed to this Agreement by fax or other electronic transmission will be effective as delivery of a manually signed consideration of this Agreement. This Agreement shall enter into force for each grantor when consideration executed on behalf of that grantor has been given to the administrative agent and to a counterparty on behalf of the administrative agent, and thereafter shall be binding on that grantor and the managing agent and their respective successors and authorized assigns. and will benefit the Grantor, the Administrative Agent and the other secured parties and their respective successors and assigns, except that no Licensor has the right to assign or transfer its rights or obligations under this Agreement or its interests contained herein (and such assignment or transfer is void), except as expressly provided in this Agreement and the Credit Agreement.
